4.1 The agreement is concluded after written confirmation by Celaine or by commencement of execution of the agreement.
4.2 Celaine reserves the right to refuse orders without stating reasons.
5. Prices and Payment
5.1 All prices are inclusive of VAT and exclusive of shipping costs unless otherwise stated.
5.2 Payment must be made using the payment methods offered on the website.
5.3 In the case of advance payment, the full amount must be paid before delivery takes place.
6. Delivery and Shipping
6.1 Delivery takes place at the address specified by the customer.
6.2 If delivery is not possible due to an error on the part of the customer, the costs for a new delivery attempt will be borne by the customer.
6.3 Delivery times are indicative and may vary. Celaine aims to deliver within the specified time frame.
7. Retention of Title
7.1 All delivered products remain the property of Celaine until full payment has been received.
8. Warranty and Liability
8.1 Celaine guarantees that the products comply with the agreement and the specifications stated in the offer.
8.2 Complaints about defects must be reported in writing within 30 days after receipt.
8.3 Celaine's liability is limited to the value of the delivered products unless there is intent or gross negligence.
9. Returns and Exchanges
9.1 Returns and exchanges are only accepted if the products are unused and in their original condition.
9.2 The customer bears the costs for return shipments unless otherwise agreed.

11. Governing Law and Disputes

13.1 All intellectual property rights concerning the products, designs, documentation, and other materials provided by Celaine remain with Celaine.
13.2 Customers are not permitted to remove or change any indications regarding copyrights, trademarks, trade names, or other intellectual property rights without prior written permission from Celaine.
14. Force Majeure
14.1 Celaine is not obliged to fulfill any obligation towards the customer if it is hindered due to a circumstance that is not due to fault and is not for its account by virtue of the law, a legal act, or generally accepted practice.
14.2 Force majeure includes any external cause, as well as any circumstance, which should not reasonably be attributed to Celaine.
